The Annual General Meeting of EuroSCUG Incorporated will be held at the Moruya Golf Club on Wednesday 1st February 2023 at 10am. The following business will be conducted:

  1.  Confirmation of minutes of the Annual General Meeting held April 2022
  2. Presentation of the President’s report on the activities of EuroSCUG: 1 Jan – 31 Dec 2022.

  3. Treasurer’s presentation of Accounts: 1 Jan – 31 Dec 2022.

  4. Discussion on a proposal to wind-up EuroSCUG Incorporated.

  5. Election of the Committee of Management for the next 12 months. A nomination form is attached to this email, and must be lodged no later than 25th January 2023. You can also download the form here or request one from any of the committee members.

  6. If a new committee is elected, that the meeting approve the appointment of a person or persons to audit EuroSCUG’s accounts for next twelve months.

  7. If a new committee is not elected, the following special resolutions will be presented to members:

    a)      That the meeting approves the cancellation of the registration of EuroSCUG Inc.

    b)      That the meeting approves the proposal for the distribution of the assets of EuroSCUG Inc., consistent with our constitution, as detailed below..

Members please note that at a committee meeting on 2nd November 2022, the majority of the EuroSCUG committee decided to put to members that EuroSCUG should be wound up at the end of 2022.   This is due to the lack of members attending the general meetings and the closing of most of the Local Area Group meetings over the past six months.

There is an opportunity at this AGM for a new committee to form, to keep the association going. The association could keep going in its current form, but another option would be to change its name and objectives, which would require changes to the constitution.  For example, forming a group that focuses on phones and tablets, or changing the membership focus to the general population, rather than over 55s.

There may also be an opportunity for members to alternatively form a social group to meet relating to phone and/or tablet group.

Few, if any, of the current committee members will be standing for re-election, so if you want your association to continue, now is the time to put in your nomination forms.

 Assets disposal proposal:

If EuroSCUG folds, we propose that our equipment will become available for members to purchase. A list of items and their costs will be available at the completion of the AGM. If you are interested in buying any of the items, please make this known after the AGM by registering your interest to Mike Hitchcock.

Regarding distributions of our cash, the two options are:

1)      Donate to our umbrella organisation Australian Seniors Computer Clubs Association

2)      Donate to any organisation that qualifies under these guidelines.

At the AGM, we will have a special morning tea.  This will be a good opportunity for members to catch up, as we are not planning any other presentations at the AGM, or future meetings. At the morning tea (if EuroSCUG is to be wound up), members could perhaps indicate their interest in, and ask questions about, a possible social group.
You have received this email because according to our records you are a registered member of the Eurobodalla Seniors Computer Users Group Inc..  If you no longer wish to receive emails regarding our newsletter or other notices, please let us know by return email.
